Overview

The advent of technology has enabled many businesses to create an online presence or move their business online and the published statistics increasingly reflect this. Further, amid the pandemic situation now, troubled brick-and-mortar retailers have been in the spotlight as consumers increasingly shun physical malls. e-Commerce is looking to be increasingly attractive as a complementary, or alternative business strategy. Other than sale of products, services offered online can range from consultancy, to employee search and deployment, to being an aggregator of sale and purchase of good and services. How are such businesses started ? What are the legal implications ? Are there any licensing requirements ? Are any Singapore laws being breached ? This ½-day workshop aims to explore these issues and address them from legal perspectives.

Course Outline

1. e-Commerce Activities

- What are the types of e-commerce activities out there? Merchant websites vs third party websites ?
- What is the range of activities? Running promotions with online merchants and platforms (e.g. Grab) 
- What differences are there compared to the conventional brick-and-mortar businesses ?

Contractual implications, including Offer and Acceptance‎ i.e. how to draft offer and acceptance clauses
- Back-to-back contractual obligations and ensuring proper protection

Kala Anandarajah
Head of Competition & Antitrust and Trade

Anandarajah heads the Competition & Antitrust and Trade Practice, leads the Corporate Governance Practice and is a member of the Sustainability Practice. Alvin Tan holds a Bachelor of Business Management and a Juris Doctor in Law. Prior To practising law, Alvin worked as a civil servant in a central ministry. He advises regularly on competition and consumer protection matters, including compliance and training. On trade, he advises regularly on issues such as licensing, import / export controls including but not limited to strategic and controlled goods. He has assisted clients on a wide range of corporate commercial matters as well as on personal law.

He also advises on employment law, termination matters, redundancy, incentive schemes, employment contracts, issues / policies on conduct and whistle-blowing. He also advises extensively on environmental compliance issues in Singapore.


Tanya Tang
Partner (Chief Economic & Policy Advisor)

Tanya Tang is Chief Economic & Policy Advisor with the Competition & Antitrust and Trade Practice. She has extensive competition and regulatory experience, having worked in the competition team at the Infocomm Development Authority of Singapore (IDA) as well as the Competition Commission of Singapore (CCS), where she was responsible for developing policy frameworks and conducting economic analysis for investigation of competition cases. Since joining Rajah & Tann, Tanya has advised extensively on general and sectoral competition law issues covering telecoms, media and energy sectors, as well as trade matters.

Tanya studied economics at the University of Chicago and holds a Masters in Economics for Competition Law from King's College London. She has been recognised annually since 2016 as a leading competition economist and consulting expert by Who's Who Legal.


Joshua Seet
Senior Associate
Rajah & Tann Singapore LLP

Joshua has deep competition law experience firmly rooted in Asia. Having worked in top-ranked law firms in Singapore and Hong Kong over the last 10 years, he has handled merger filings, competition investigations and disputes for some of the largest international companies and private equity firms in Singapore, Mainland China and Hong Kong. His experience extends to assisting with investigations and competition advisory.

He also possesses experience in trade matters in Singapore, including advising on import/export requirements, trading in strategic goods, and dealing with Customs violations. 

Joshua maintains an active interest in writing and has published in various national and international publications. His work has been nominated for the Antitrust Writing Awards. Holding an LLM from King's College London and an LLB from the National University of Singapore (NUS), Joshua is dual-qualified to practice in Singapore and Hong Kong.
